Exact Penny, a product of Strohl.ai · Version 2026-09-28 · Last updated September 28, 2026
EARLY ACCESS BETABy accessing or using Exact Penny (the "Service"), you agree to these Terms of Service, the Privacy Policy, and the Cookie Policy on your own behalf and on behalf of the firm you represent. Signing in requires a checked acknowledgement that you have read and agree to these terms; at that time the Service records the terms version, the date and time, and the IP address and browser used to accept. If you do not agree, do not use the Service.
The Service is provided as an early-access beta. Features may change, be interrupted, or be withdrawn without notice, and defects may exist. The Service is offered for evaluation and convenience; it is not represented as complete or error-free.
The Service performs arithmetic on data you supply. Its output is not legal, accounting, tax, or financial advice, and it does not replace the professional judgment of a lawyer or accountant. You remain solely responsible for compliance with your law society's rules, trust accounting requirements, retainer agreements, and applicable law.
Interest figures, day counts, settlement waterfalls, and every other computed value are provided on an "as computed" basis. Software can contain errors, including calculation errors, rounding differences, and errors arising from incorrect or incomplete data entry. You must independently verify any figure before relying on it, including before using it in a client statement, court filing, trust disbursement, or settlement. The Service's figures are not a representation of the legally correct amount in any matter.
The Service is licensed, not sold, for a one-time fee of $2,950 CAD per firm (the "Licence Fee"), payable in full on order. Strohl.ai issues an invoice by email; payment is accepted by Interac e-Transfer, bank transfer, or card. On payment, the firm receives a perpetual, non-exclusive, non-transferable licence to use the Service firm-wide, covering unlimited client files and unlimited staff at the firm. This is a licence to use the Service; it transfers no ownership, and Strohl.ai retains all right, title, and interest in the Service, including its software, design, and documentation.
The Licence Fee includes ledger matching and migration from the firm's existing system, hosting on your firm's own subdomain of exactpenny.com or a self-hosted install on the firm's own server at the firm's option, and twelve months of updates and support from the date of order. After the initial twelve months, updates are optional and quoted separately; hosting continues to be included for as long as Strohl.ai hosts the Service. If Strohl.ai ever stops hosting the Service, the firm will receive the self-hosted install, a full export of its data, and at least 90 days' notice.
If the Service cannot reproduce the firm's existing ledger to the cent, the firm is entitled to a full refund of the Licence Fee.
Data you enter remains the firm's property. You may request a full CSV export of your data at any time, including on termination. Hosted deployments run today on servers located in the United States (Oregon); a Canadian-region or fully self-hosted deployment is available on request. Each licensed firm runs on its own separate deployment with its own database; no firm shares a database or server process with another. Reasonable efforts are made to back up hosted data, but you should retain your own source records independently. Do not enter data you are not authorized to process.
Exact Penny is a calculation tool. The firm using the Service remains solely responsible for compliance with the Law Society of British Columbia's trust accounting rules, confidentiality obligations, and all other applicable professional conduct rules. Nothing in the Service or these terms relieves the firm or its lawyers of those professional responsibilities.
Firms that connect Clio grant the Service read access to matters, contacts, and expenses through an access token issued by Clio. The Service uses that access only to import the data the firm selects and to write settlement figures back once the firm confirms them. The firm may revoke access at any time from within Clio; on revocation, Strohl.ai stops syncing and deletes the stored token.
The Service may be unavailable at any time, without notice, for maintenance or for any other reason. No uptime commitment is made during the beta. You are responsible for retaining your own records; do not treat the Service as your only copy of any data.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, ACCURACY, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STROHL.AI AND ITS PRINCIPALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. THE TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE LICENCE FEE PAID FOR THE SERVICE, OR ONE HUNDRED DOLLARS (CAD) IF NO FEE WAS PAID.
You agree to indemnify and hold harmless Strohl.ai and its principals from claims arising out of your use of the Service, your data, or your breach of these terms, including claims by your clients relating to figures you relied on without verification.
Access may be suspended or terminated for breach of these terms. Sections 3, 4, and 10 through 12 survive termination. On termination, the firm may request a CSV export of its data as described in section 6.
These terms may be updated from time to time. Material changes will be noted on this page with a new version date, and continued use after notice of an update constitutes acceptance.
These terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein. The courts of British Columbia have exclusive jurisdiction.
